Looks like this was a bug in the IOS. Had been running 12.1(11r)AX. Upgraded to 12.2(25)SE and my etherchannel / cluster communication problems have been resolved.

But seriously, I haven't investigated this problem at all, but we also have 3750 stack with etherchannel to windows and services department are talking about problem very similiar with failover. So if someone has some technical details about the problem and whether it's 3750 or windows problems I think list would greatly appreciate input. I'd save time debugging the problem to devide should I contact MS or Cisco.
